Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of XORENAI websites, applications, artificial intelligence services, software, tools, APIs, and related products (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Services.

You must be at least 13 years old, or the higher minimum age required where you live, to use the Services. If you are under 18, you must have permission from a parent or legal guardian where required. You may not use the Services if applicable law prohibits you from doing so.

You must provide accurate account information and keep it current. You are responsible for protecting your credentials and for activity conducted through your account.

Notify [email protected] promptly if you suspect unauthorized access. You may not share, sell, transfer, or make an account available in a way that compromises security or violates these Terms.

XORENAI provides AI-assisted reasoning, research, content generation, analysis, and related functionality. Features and availability may differ by plan, location, platform, or account type.

We may improve, modify, suspend, or discontinue features. Where reasonably practicable, we will provide notice of material changes that adversely affect paid Services.

You must use the Services lawfully and responsibly. You may not:

• Violate law, third-party rights, or applicable sanctions and export controls.
• Generate, distribute, or facilitate unlawful, fraudulent, deceptive, abusive, or harmful activity.
• Attempt unauthorized access, interfere with the Services, introduce malware, or bypass safeguards and rate limits.
• Use automated means to extract data or outputs except through authorized interfaces or written permission.
• Reverse engineer or attempt to discover non-public source code, models, system prompts, weights, or underlying components except where law expressly permits.
• Misrepresent AI-generated material as human-created where disclosure is legally required.
• Use the Services to make high-impact decisions about a person without appropriate human review and compliance with applicable law.
• Submit content you do not have the right to use or that unlawfully exposes confidential, personal, or sensitive information.

You retain ownership rights you have in prompts, files, instructions, feedback, and other content you submit (“User Content”). You are responsible for User Content and must have the rights and permissions needed to submit it.

You grant XORENAI a non-exclusive, worldwide license to host, process, reproduce, transmit, and otherwise use User Content only as needed to operate, secure, maintain, and improve the Services, comply with law, and enforce these Terms, subject to the Privacy Policy and applicable product settings or commercial agreements.

Subject to law and these Terms, you may use outputs generated for you. Because AI systems can produce similar material for different users, outputs may not be unique and rights in them may be limited by applicable law.

AI output may be incomplete, inaccurate, outdated, or unsuitable for a particular purpose. You are responsible for reviewing outputs and deciding whether and how to use them. Do not rely on output as a substitute for qualified professional advice or use it as the sole basis for legal, medical, financial, employment, credit, housing, education, insurance, or other high-impact decisions.

The Services may contain links to or integrations with third-party services, models, APIs, websites, and data sources. Their terms and privacy practices govern your relationship with them. XORENAI is not responsible for independent third-party services, and enabling an integration authorizes the exchanges needed to provide it.

Prices, billing periods, usage allowances, taxes, and renewal terms are disclosed when you purchase. Unless stated otherwise, subscriptions renew automatically for the same period until canceled before renewal.

You authorize XORENAI and its payment providers to charge the selected payment method. Fees are non-refundable except where required by law or expressly stated at purchase. We may change prices with advance notice applicable to a future billing period.

Credits, trials, promotional access, referral benefits, merchandise, and rewards may be subject to separate rules, eligibility requirements, expiration dates, and usage limits. Unless stated otherwise, they have no cash value, are non-transferable, and may be withdrawn where obtained through error, fraud, abuse, or a Terms violation.

Enterprise, business, education, developer, and API Services may be governed by an order form, commercial agreement, Data Processing Agreement, service-level terms, or product-specific policies. If those terms conflict with these Terms, the more specific agreement controls for that Service.

XORENAI and its licensors retain all rights in the Services, including software, interfaces, models, systems, designs, trademarks, logos, and other technology, excluding User Content. These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Services as permitted by your plan and these Terms.

If you submit ideas, suggestions, or feedback, you authorize XORENAI to use them without restriction or compensation, provided that doing so does not identify you publicly without permission.

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the Services, you acknowledge those practices.

You may receive non-public information identified as confidential or that reasonably should be understood as confidential. You must protect it using reasonable care and use it only in connection with the Services. This does not apply to information that becomes public without breach, was independently developed, was lawfully known without restriction, or must be disclosed by law.

Experimental, beta, preview, or early-access features may be incomplete, change without notice, and be less reliable than generally available Services. Use them at your own risk and do not rely on them for production or high-impact use unless expressly authorized.

You may stop using the Services at any time. You may cancel a subscription through available account controls or the method stated at purchase.

We may restrict, suspend, or terminate access where reasonably necessary to address a Terms violation, security risk, legal requirement, non-payment, harm to users or infrastructure, or discontinued Service. Where appropriate and permitted, we will provide notice and an opportunity to resolve the issue.

Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, and dispute provisions—will survive.

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” XORENAI disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation, that outputs will be accurate or unique, or that the Services will meet every requirement. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

To the maximum extent permitted by law, XORENAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising from the Services. Any aggregate liability will be limited as stated in the applicable order, commercial agreement, or mandatory law. These limitations do not apply where liability cannot legally be limited.

To the extent permitted by law, business and organizational users will defend and indemnify XORENAI and its personnel against third-party claims arising from their unlawful use of the Services, User Content, or material violation of these Terms. This section does not apply to individual consumers where prohibited by law.

Applicable governing law and forum may depend on your location, mandatory consumer protections, and any commercial agreement with XORENAI. Before commencing formal proceedings, you and XORENAI agree to make a reasonable good-faith effort to resolve the issue informally by contacting [email protected]. Nothing here limits rights or remedies that cannot be waived under applicable law.

We may update these Terms to reflect changes in the Services, technology, law, safety requirements, or business operations. We will provide notice of material changes where required. Changes apply from the stated effective date. Continued use after that date constitutes acceptance where permitted by law.

These Terms, the Privacy Policy, and applicable product or commercial terms form the agreement governing the Services. If one provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent; XORENAI may assign them as part of a merger, reorganization, asset transfer, or operation of the Services, subject to law.
